Roles & Responsibilities

    Commitment:

    • Approximately 2 hours per month attending board meeting and reviewing materials (no meeting in August)
    • Attendance at Annual General Meeting 1-2 hours
    • Quarterly participation in sub-committee meetings 1-2 hours
    • Optional participation in KBB clean-ups and events
    • Additional hours (approximately 1 hr weekly) may be necessary from the President/Chairman and Treasurer

    Board President/Chairperson

    This is an extraordinary volunteer opportunity for an individual who is passionate about preserving and enhancing the beauty of Bermuda and who has a proven track record of leadership. The ideal candidate will serve as a trusted advisor to the ED and chair of the KBB board as they develop and implement KBB’s strategic plan. Savvy diplomatic skills and a natural affinity for cultivating relationships, and facilitating and building consensus among diverse individuals are essential, as well as excellent written and oral communication skills.

    President’s Role & Responsibilities

    The President shall chair all meetings of the Board of Directors and all Annual General Meetings or any Special General Meetings and shall be responsible for preparing or arranging the preparation by others of the Annual Report. The President shall be an ex-officio member of all sub-committees (if created) and shall appoint all sub-committee chairs taking into account but not necessarily following any comments of the Executive Director.
    The President shall annually appoint a member of the Board of Directors to sit on the Council of the Bermuda National Trust.
    The President shall work in partnership with the Executive Director to make sure that all resolutions of the Board of Directors are carried out but for the avoidance of any doubt the President shall have the final say in relation to the form of all and any measures required to implement such resolutions.

    Treasurer

    This volunteer opportunity is perfect for an individual who’s not only knowledgeable about accounting for non-profits, but also passionate about preserving and enhancing the beauty of Bermuda. The successful candidate will also function as the Financial Compliance Officer in alignment with AMl and ATF regulations. Leadership and communication skills are essential. The Treasurer is responsible for ensuring board members understand KBB’s financial position so that informed decisions can be made.

    Treasurer’s Role & Responsibilities

    The Treasurer shall receive and acknowledge membership payments and all other monies paid to KBB. He/she shall also be responsible for the disbursement of all funds as directed by the Board of Directors.
    The Treasurer shall also present a financial report at each meeting of the Board of Directors, the Annual General Meeting and at a Special General Meeting if requested to do so and ensure that all information is kept safe and secure and complies with all local regulations re external reporting (if any), including the safe and permanent storage of all approved year-end financial statements.

    Secretary

    Strong record keeping provides insight into the past and as well as a foundation for future growth. This volunteer position performs the role of information manager for the board and is responsible for such tasks as the accurate recording and distribution of meeting minutes, maintaining records and sending notices of scheduled meetings.

    Secretary’s Role & Responsibilities

    The Secretary shall be responsible for preparing minutes of all meetings, correspondence and all other documents relating to meetings of the Board of Directors, the Annual General Meeting and any Special General Meetings. He/she shall be the custodian of all documents, records and papers relating to KBB, including the safe and permanent storage of all Minutes.

    Directors (General)

    A general board member volunteer position which provides general support to the governance of KBB while maintaining up to date knowledge of the organisation and a personal commitment to its goals and objectives.

    Director’s Role & Responsibilities

    The Directors shall attend all meetings including but not limited to those of the Board of Directors, Annual General Meetings and Special General Meetings when they are able. They shall read all minutes, reports and other materials provided and use their best endeavours to make decisions which are in the best interests of KBB free from all other personal or other third party interests or influences which may compete with this.
    Directors shall comply with the KBB conflict of interest policy at all times during their tenure in office.
